Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FinitePath platform and related services provided by FinitePath AI Corporation ("FinitePath," "we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

FinitePath provides a construction planning, scheduling, and project-controls platform, including critical-path (CPM) scheduling, earned-value (EVM) analysis, forensic and delay analysis, schedule import (Primavera P6 XER, Microsoft Project XML), cost integration, AI-assisted insights, and related features. We may also provide professional project-management and implementation services as separately agreed.

2. Accounts and eligibility

You must provide accurate information and keep your account credentials secure. You are responsible for activity under your account. The Service is intended for business and professional use. You must be at least 18 years old to use the Service.

3. Free trial

We may offer a free trial period. At the end of the trial, continued access to paid features requires an active subscription. We may modify or discontinue trial offers at any time.

4. Subscriptions and billing

  • Paid plans are billed on a recurring basis (for example, monthly) through our payment processor, Stripe, until cancelled.
  • By subscribing, you authorize us to charge the applicable fees to your payment method on each billing cycle.
  • You may cancel at any time; cancellation stops future renewals. Access to paid features continues until the end of the current billing period.
  • We may change pricing with reasonable notice. Price changes do not affect the current paid period.

5. Professional services

Where FinitePath provides project-management, scheduling, or implementation services, the scope, deliverables, and fees are defined through meetings, proposals, quotes, and written agreements with the client. Such engagements are governed by those agreements together with these Terms.

6. Refunds

FinitePath project-management and professional services are delivered through a collaborative process involving multiple meetings and agreements with clients. We may, in appropriate cases, consider refunds; however, all refunds are granted solely at the discretion of FinitePath. Subscription fees are generally non-refundable except where required by law or expressly agreed in writing. To request consideration of a refund, contact fp@finitepath.com.

7. Your content and data

You retain all rights to the project files, schedules, and data you upload or create ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide and improve the Service. You are responsible for ensuring you have the rights to upload Your Content and that it does not violate any law or third-party rights.

8. Acceptable use

You agree not to:

  • Use the Service for any unlawful or infringing purpose.
  • Attempt to gain unauthorized access to the Service or other accounts.
  • Interfere with, disrupt, or overload the Service or its infrastructure.
  • Reverse engineer or resell the Service except as permitted by law.

9. Intellectual property

The Service, including the RishEngine™ platform, software, and content (excluding Your Content), is owned by FinitePath and protected by intellectual property laws. These Terms do not grant you any rights in our trademarks or software except the limited right to use the Service as intended.

10. Third-party services

The Service relies on third parties including AWS (hosting), Stripe (payments), Google (sign-in), and Anthropic (AI). Your use of features that rely on these providers may also be subject to their terms. We are not responsible for third-party services outside our control.

11. Disclaimers

The Service and any analysis, schedules, forecasts, or reports it produces are provided "as is" and for informational and professional decision-support purposes. While we strive for accuracy, FinitePath does not warrant that outputs are error-free or fit for any particular purpose. You are responsible for reviewing and validating results before relying on them for project, contractual, or legal decisions.

12. Limitation of liability

To the maximum extent permitted by law, FinitePath shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service shall not exceed the amounts you paid to us in the twelve months preceding the claim.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends; certain provisions (such as those on intellectual property, disclaimers, and liability) survive.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, except where mandatory local law applies. Disputes will be resolved in the appropriate courts, unless otherwise agreed in a separate services agreement.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date and, where appropriate, notify you of material changes. Continued use of the Service after changes take effect constitutes acceptance.
